Terms of service

1. Who we are

ColdLatch ("we", "us") provides cold-chain temperature monitoring software as an online service. These terms apply to this website and to the ColdLatch service. If your organisation has signed a separate agreement with us, that agreement takes priority wherever the two differ.

2. The service

ColdLatch receives temperature readings from your loggers, detects excursions, proposes stock blocks in your ERP system, records the decisions your users make, and posts approved blocks. It keeps an audit log of those events.

ColdLatch supports your quality processes; it does not replace them. Decisions about product quality, release and recall remain yours, and so does the validation of ColdLatch for your regulated use.

4. Fees

Plans are priced per company, per month, by the number of monitored points, as shown on our pricing page or in your order. Prices exclude VAT. Monthly plans can be cancelled at any time and end at the close of the paid month. We give at least 30 days' notice of a price change.

5. Your data

The readings, records and configuration you put into ColdLatch are yours. We process them only to provide the service, as described in our privacy policy and, where applicable, a data processing agreement. You can ask for an export of your data at any time and for 30 days after your subscription ends, after which we delete it, except where the law requires us to keep it.

7. Availability and support

We work to keep the service available and to announce planned maintenance in advance. Temperature monitoring depends on your loggers, your network and your ERP system as well as on ColdLatch; you should keep your own procedures for periods when any of them is unavailable.

8. Liability

To the extent the law allows, our total liability for any claim arising from the service is limited to the fees you paid in the twelve months before the claim, and we are not liable for loss of product, loss of profit or indirect loss. Nothing in these terms limits liability that cannot be limited by law.

9. Ending the agreement

You can stop using the service at any time. We may suspend or end access if these terms are seriously or repeatedly broken, after giving notice and a reasonable chance to put things right where that is possible.

10. Changes to these terms

If we change these terms we will update the date above and, for a significant change, tell account administrators by email at least 30 days beforehand.
